Under the general supervision of the designated Vice President & Associate General Counsel, provides legal advice and assistance to support business groups at AmerisourceBergen Corporation (the “Company”), with a focus on specialty pharmaceutical distribution, global strategic sourcing and related businesses. The candidate will act as a proactive business partner in achieving the Company’s business goals and objectives, while protecting the Company’s interests from a legal perspective by identifying and managing risks as well as providing timely, accurate and effective legal advice. The role will be based in Conshohocken, PA (near Philadelphia) but will require periodic travel to Frisco, TX (near Dallas).
PRIMARY DUTIES AND RESPONSIBILITIES:
Drafts, negotiates and reviews commercial contracts, with an emphasis on supply chain, including purchase agreements with customers and GPOs and distribution agreements with brand, generics and OTC product manufacturers. Reviews other business agreements, as requested, including master services agreements, data reporting agreements, consulting and vendor agreements, pharmacy and managed care agreements, confidentiality agreements, and government and other customer solicitations and RFPs, to ensure that these contracts accurately express the Company's objectives and minimize legal risk. Drafts and updates agreement templates for the business’s Pharmaceutical Distribution and Strategic Global Sourcing team. Works closely with Financial and Sales leads on all phases of negotiation with distribution customers and with category managers on all phases of negotiation with product suppliers. Provides legal advice to the organization with respect to corporate transactions and develops and updates corporate policies with input from business teams. Advises the business on regulatory matters, such as anti-trust, Anti-Kickback, Stark, FCPA and other healthcare regulatory matters. Works closely with executives and key associates of the Corporation and its subsidiaries on matters relating to the legal affairs of the Company. Develops workflow processes to ensure Company is compiling with contractual deliverables and obligations. Responsible for foreseeing and protecting the Company against legal risks. Participates in business development meetings and strategic planning meetings to ensure contractual obligations are in the Company's best interest and no conflict of interest or other issues exist. Provides general business counsel and performs related duties as assigned. Qualifications: EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
Requires broad training in fields such as business administration, accountancy, sales, marketing, computer sciences or similar vocations generally obtained through completion of a four year Bachelor's Degree program. Normally requires three to seven years progressively responsible and directly related experience in large firm and/or corporate legal department. Law Degree - must be a graduate of an accredited law school and admitted into the state bar in good standing.
MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:
Significant training and practical experience in corporate and commercial practice, including preparation and negotiation of business contracts and general business counseling Ability to communicate effectively both orally and in writing Strong interpersonal skills Ability to multi-task and juggle multiple and competing projects and priorities Excellent judgment and ability to resolve complex issues effectively Strong negotiating and leadership skills Strong organizational and project management skills; attention to detail; ability to work independently and as part of a team Ability to be solution-oriented and business-minded Familiar with a variety of the fields concepts, practices and legal procedures Experience in healthcare or pharmaceuticals industry an asset, but not required Knowledge of Microsoft Word, Excel and PowerPoint
